Terms and Conditions of Fans1 These Terms and Conditions govern the contractual relationship between you (hereinafter referred to as the "Member" or "User") and the operator of the platform Fans1, operated by: Flarex Media International LTD 64 'EXCALIBUR', TRIQ B. BONTADINI Birkirkara, BKR 1737, Malta Email: support@fans1.com (hereinafter referred to as the "Provider" or "Fans1"). By using the services offered on the Fans1 platform and clicking the checkbox "I have read and accept the Terms and Conditions," you agree to be bound by these Terms. Contradictory terms submitted by users shall not apply. The Provider reserves the right to amend these Terms and Conditions. Any changes will be communicated to you via email four weeks prior to taking effect. If you do not object within that timeframe, the changes are considered accepted. If you object, the Provider may terminate the agreement. This will be clearly stated in the notification email. 1. General Information Fans1 is a digital content and community platform operated by: Flarex Media Holding Group, 64 ‘EXCALIBUR’, TRIQ B. BONTADINI, Birkirkara, BKR 1737, Malta. Technical implementation and payment provider: Flarex Media International LTD, 64 ‘EXCALIBUR’, TRIQ B. BONTADINI, Birkirkara, BKR 1737, Malta. The contractual relationship between the user and the platform is established directly with Flarex Media International LTD. The Fans1.com platform is intended exclusively for natural persons who have reached the age of 18 and may be used for both private and commercial purposes. Registered members on Fans1 can create and manage their own profiles, upload and publish content such as texts, photos, videos, audio, and livestreams, interact with other users through messaging, and monetize their content through platform features. Users may access and follow public profiles, purchase content via one-time payments (pay-per-view), subscribe to creators on a monthly basis, send paid wish requests for personalized content, communicate in private chats, and shop for exclusive creator items through the integrated Creator Shop. Registration and basic usage of the Fans1 platform are free of charge. However, members may also purchase digital content and services offered by creators, some of which are subject to payment and clearly marked as such. These premium options may be activated voluntarily by users. Users (referred to as "Fans") may also purchase virtual currency (credits) to unlock specific features, content, or services. Credits are non-refundable and cannot be refunded of the amount paid for them. Please don’t use our website to break (or bend) the law, we won’t be able to help you. We have a list of prohibited activities in the full version of the Terms and Conditions. Please read and follow them. We trust our users and models, but the law requires that we monitor, record and log your activity on our website. Fans1 expects all members to conduct themselves in a respectful, appropriate, and courteous manner when interacting with others on the platform. 2. Services Provided Flarex Media International LTD provides the digital platform Fans1.com, through which members can upload and publish content and access content made available by other members. The provider ensures the technical availability and accessibility of such content through the platform. The contractual service provided by the operator consists in granting access to its online platform and maintaining the general functionality of the system. Fans1 reserves the right to review content and profile details (such as usernames, profile images, and uploaded material) prior to publication. The provider may, at its sole discretion, reject, edit, or remove content or temporarily or permanently suspend a member’s account. This particularly applies in the event of violations of these Terms of Service, applicable laws, the detection of false or misleading information, or other significant reasons. In such cases, any pending commission or revenue claims may be forfeited. Fans1 also reserves the right to verify the authenticity and compliance of member accounts and may request documentation for this purpose, such as verification photos or government-issued identification. If a member fails to provide the required documentation, the provider may delete the account without further notice. There is no legal entitlement to access or use the platform or to the publication of content. In cases of violations of these Terms, legal provisions, or serious disruption of the platform’s integrity or community environment, the provider may impose a virtual ban (account ban) on a member. Members who have been banned are not permitted to re-register. If such a ban is circumvented by re-registering under a different name or pseudonym, the new account will be deleted. In cases of repeated circumvention, the provider reserves the right to take legal action, including the filing of injunctive relief. In the event of serious personal attacks, defamation, threats, or any other behavior that may constitute a criminal offense under applicable law, the provider reserves the right to involve law enforcement authorities. The assessment and decision as to whether a situation warrants modification, rejection, removal, suspension, or the issuance of a platform ban remains solely at the discretion of the provider. Fans1 reserves the right to modify, expand, or limit services, features, and content on the platform at any time. In cases where paid services are affected, the provider will ensure appropriate and fair compensation or adjustment. If a free member account remains unused for more than 3 months, Fans1 may delete the account without prior notice. In such cases, the member has no claim to data restoration or retrieval. 3. Contract Formation and Termination By registering on Fans1.com, you submit an offer to enter into a user agreement with the platform provider, Flarex Media International LTD, located at 64 ‘EXCALIBUR’, TRIQ B. BONTADINI, Birkirkara, BKR 1737, Malta. During the registration process, you are required to provide a username, a valid email address, and a password. You may also register using third-party services (e.g., Google Login). In this case, selected profile information from the respective service provider will be transferred into Fans1’s database. By registering via a third-party service, you agree to the terms and conditions of the external provider and consent to the transfer of the relevant data. Each person is permitted to register only one personal account. There is no legal entitlement to the conclusion of a user contract. Upon successful registration, you will receive a confirmation email from Fans1 acknowledging your offer to register. The contract can be terminated by either the user or the platform at any time. However, termination is only possible once all active subscriptions have been fully canceled. The right to terminate the contract for just cause (extraordinary termination) remains unaffected. Paid Services: Pay-Per-View Content (PPV): Users may purchase Credits to unlock paid content. Creators can upload and publish content and define the price per content piece individually. Creators are entitled to receive up to 70% of the net revenue, which is paid out in the following two weeks after the date of earning, minus any chargebacks or refunds. In order to receive payouts, creators must submit a valid government-issued photo ID. Details are governed by the Payout Policy. Pay-Per-Message (PPM): Users may purchase Credits to unlock paid messages. Creators can send locked messages in the chat and define the price per message individually. Creators are entitled to receive up to 70% of the net revenue, which is paid out within two weeks after the earning date, minus any chargebacks or refunds. In order to receive payouts, creators must submit a valid government-issued photo ID. Details are governed by the Payout Policy. Subscription-Based Content: Users may subscribe to Creator accounts to gain ongoing access to all content within the subscription tier. Creators may optionally exclude certain posts from their subscriptions, offering them only via Credits. Subscriptions can be canceled at any time with a 48-hour notice before the end of the 28-day billing period. Otherwise, the subscription will automatically renew for an additional 28 days. Access to paid content remains available until the subscription period ends. Livestreams: Users can interact and explore various features to connect with creators in real time and enjoy personalized livestream experiences, which is divided into three types: Public Streams, which are free and accessible to all users; Subscribed Streams, which are available exclusively to paying subscribers; and VR Streams, which offer a fully immersive experience for users with compatible virtual reality equipment. During any livestream, fans can chat live with the creator, send tips using their purchased Credits, and enjoy direct interaction based on the creator’s availability. In addition to livestreams, Fans1 provides group shows where multiple users can watch a creator’s live video simultaneously and engage in a shared chat. These group shows are billed per second or per minute, depending on the rates set by the creator and displayed clearly on the platform. For more exclusive experiences, users may request private shows, where the creator is live one-on-one with the user. In some cases, other users may be permitted to spy on these private sessions in a view-only mode, also billed per second or minute. Users may also chat privately with creators through the internal messenger. Depending on the creator’s preferences, sending a message or media such as images or videos may incur a token-based fee. This pay-per-message fee is charged for each individual message, regardless of whether the creator views or replies to it. Creators may also choose to send locked content via chat, which users can unlock for a specified amount. All amounts, fees, and access levels are determined by the creator and displayed transparently to the user. Users are solely responsible for any messages, media, or content they send or share on the platform and must ensure ongoing compliance with all applicable laws, platform guidelines, and the Fans1 Terms of Use. Fans1 team relies on the community to help maintain a safe and respectful environment by reporting any inappropriate behavior or content. If a violation is identified, Fans1 reserves the right to suspend or permanently terminate access to the platform without prior notice or liability. Member Declarations By uploading content, you confirm that: You and all individuals shown in the content were at least 18 years of age at the time the content was created. You hold all necessary rights of use for the published content. All persons visible in the material have provided their explicit consent for its publication on Fans1.com. Fans1 acts solely as an intermediary between content creators and fans and does not become a contractual party to the transactions between users. 4. Rights to Content, Copyright Infringement, and Takedown Policy By uploading or transmitting content to Fans1.com (including but not limited to text, images, audio files, graphics, and video clips), members grant Flarex Media International LTD, free of charge, a non-exclusive, worldwide, and perpetual right to use, modify, display, make publicly accessible, reproduce, and distribute such content on and through the services offered on the platform. Furthermore, members grant Fans1 the irrevocable right, free of charge, to use the content they have uploaded for marketing and promotional purposes, including making such content publicly accessible or having it made publicly accessible on third-party platforms and portals in connection with the promotion of the Fans1 platform. By participating on the platform, members agree that Fans1 may use publicly shared information from their profiles such as usernames, avatars, or post previews in activity feeds, notifications, RSS feeds, or public updates across other platforms (e.g., Twitter, Threads, etc.). Members further agree that their profile or parts of their profile may be surrounded or displayed alongside advertising of any kind. Fans1 does not offer user-generated content under its own name, nor does it claim ownership of the content uploaded by users. Fans1 is committed to respecting intellectual property rights and takes copyright and other legal violations seriously. If a user believes that content uploaded to the platform infringes on their rights (such as personal image rights, name rights, trademark rights, or copyrights), they are asked to submit a detailed notice to Fans1. The platform will review all such notices promptly and will take appropriate action, which may include content removal or account suspension. Abuse of the reporting function may result in penalties. Individuals who are clearly identifiable in published content have the right to request the removal of such content if they have not given their explicit, written consent to the publication or wish to withdraw previously granted consent. Such removal requests must be submitted in writing to the platform operator. Fans1 reserves the right to forward the uploaded content such as the profile URL link to third parties, in purpose of enhancing visibility of a specific creator or of the platform itself in which the provider has partner agreements with. This data does not consider uploaded content of users. Fans1 takes full responsibility that content outside of the profile posts and avatar picture and profile URL is not shared with third parties under any circumstances. Fans1 follows a takedown procedure inspired by the Digital Millennium Copyright Act (DMCA). Our full DMCA Notice & Takedown Policy can be accessed here: https://fans1.com/dmca In addition, Fans1.com offers Creators the ability to generate income and share revenue through third-party referrals or promotional partnerships. Details regarding such earnings opportunities are set forth in the official Creator Agreement. 5. Duties and Obligations of Members By registering on Fans1.com, members agree to provide truthful, complete, and up-to-date personal information and to meet all minimum requirements necessary for uploading and publishing content on the platform. If changes occur in the provided data, members are obligated to update the information immediately. If adjustments are needed that cannot be made directly by the member, the provider must be informed without delay. If there is any doubt regarding the authenticity of a member’s information, the provider reserves the right to temporarily suspend the account and request proof of identity. Failure to comply with such a request may result in the deletion of the account. Termination of the contract or deletion of the account does not affect the license rights already granted to Fans1. If a member notices the use of their former profile or data in promotional material after their account has been deleted and notifies the provider, Fans1 will make reasonable efforts to have such material removed. Members may delete their uploaded content. However, content that has been purchased by another user should not be removed within three months of purchase. By purchasing content, the buyer obtains a perpetual right to access the content within their account as long as it remains available on the platform. If a member deletes such content within the first three months, the user may contact Fans1 support and, where legally permissible, will receive the content via email. Members are responsible for keeping their passwords confidential and must not share them with third parties. In the event of suspected misuse, the password must be changed immediately and the provider informed. Users guarantee that they own all rights necessary to the content they upload and that no third-party rights (such as personal image rights, name rights, trademark rights, etc.) are violated. Content must also not violate these Terms of Service or applicable laws. Upon request, members must provide proof of ownership and usage rights. No user may insult, threaten, provoke, or harass other users in any way. Any personal data received (e.g., real names, addresses, emails, phone numbers) must be treated as confidential. Any action intended to impair, bypass, or disrupt the proper operation of the Fans1 platform is prohibited. This includes, but is not limited to: SQL injection, CSRF, XSS, phishing, DoS or DDoS attacks, session hijacking, brute force, automated scraping, bot traffic, or any manual or automated interference with the platform's technical infrastructure. Any such violations will be reported to the appropriate law enforcement authorities. Members agree to indemnify and hold harmless Flarex Media International LTD, its affiliated companies, employees, representatives, shareholders, and service providers from any and all third-party claims arising from the content posted by the member or from the member’s use of the platform in violation of these Terms or applicable law. Upon first request, the member agrees to cover all reasonable legal defense costs incurred by Fans1, including court and attorney fees. In the event of a third-party claim, the member shall provide Fans1 with all truthful and complete information necessary to examine and defend against the claim. The following is strictly prohibited for all members and users: Any illegal form of advertising communication on Fans1.com (e.g., publishing of phone numbers, emails, links, SMS numbers, or other contact methods for the purpose of commercial outreach) Spamming or unsolicited messages Attempts to recruit members to external platforms or websites Scraping or harvesting member data using automated tools (bots, spiders, etc.) Uploading harmful or malicious code that interferes with or damages the platform Gaining access to another user’s account or credentials Harassing, bullying, threatening, or defaming other users Publishing content that violates applicable laws Using Fans1 for unlawful, deceptive, malicious, or discriminatory purposes Engaging in behavior that blocks, overloads, or impairs the proper functionality of the Fans1 platform Any other form of abuse or misuse of the platform or its services Fans1 reserves the right to review chat histories either randomly or when there is reasonable suspicion of a violation of these Terms. 6. Acceptable Use Policy BY USING OUR PLATFORM, YOU AGREE TO THIS POLICY – PLEASE READ CAREFULLY This policy applies to your use of Fans1.com and all content published or accessed on the platform. It is an integral part of your agreement with us. This policy outlines what is and is not allowed on Fans1. The terms defined in this policy carry the same meanings as in the Terms of Service for all users. a) Personal Use Only Use Fans1 for your personal use only. Do not sell, rent, share, transfer, or sublicense your account or any content obtained through Fans1 to anyone else. b) Legal Use Use Fans1 only in a legal manner and for lawful purposes. c) Prohibited Content Do not upload, post, display, or publish content that is illegal, fraudulent, defamatory, hateful, discriminatory, threatening, or harassing. You may not promote or encourage violence, human trafficking, or any illegal activity. d) Protection of Minors Do not use Fans1 in a way that exploits, harms, or attempts to harm individuals under the age of 18. Do not expose minors to inappropriate content under any circumstances. e) Restricted Content Types You may not upload or publish content that: Depicts, involves, or references: Individuals under the age of 18, or content that alludes to underage persons. Any individual without possessing valid documentation proving they are at least 18 years old and written consent to use their name and/or image. Displays, promotes, or references: Necrophilia or sodomy. Urine, feces, or any scatological content. Weapons, firearms, or other regulated items. Drugs or drug paraphernalia. Self-harm or suicide. Bestiality. Incest. Revenge porn or non-consensual explicit material. (i.e., any sexually explicit material that depicts a person who has not given prior, express, and informed consent to have (a) such material filmed, recorded, or otherwise captured, or (b) such material posted and shared on Fans1) Rape, Violence, torture, sexual coercion, non-consensual acts, intoxication, sadomasochistic abuse, extreme fisting, or genital mutilation. Escort services, prostitution, or human trafficking. contain unsolicited sexual content or language that objectifies another user or person in a non-consensual sexual manner, or contain fake or manipulated sexual content involving another user or person (including so-called “deep-fakes”); contain, promote, advertise, or refer to hate speech – i.e., content that seeks to denigrate, humiliate, dehumanize, exclude, attack, threaten, or incite hatred, fear, or violence against any individual or group; include or reference personal data or private/confidential information of any other person (e.g., telephone numbers, location details including street addresses and GPS data, full names, identification documents, email addresses, Fans1 login credentials such as passwords and security answers, financial information including bank and credit card details, biometric data, and medical records) without the express written consent of the person concerned; either: Content that depicts public nudity must not be taken or broadcast from any country, state, or province where public nudity is illegal. In the case of content showing sexual acts, such content must not be recorded in, or transmitted from, any public place where members of the public are reasonably likely to observe the acts. This does not include outdoor locations where no members of the public are present, such as a private backyard or remote natural areas. Content must not give the impression that it originates from, is approved by, licensed by, or endorsed by Fans1 or any other person or company unless explicitly authorized. Additionally, content must not be intended to cause or be likely to cause discomfort, anxiety, embarrassment, or serious harm to any other person. Content must not be used or intended to be used to obtain money or any other benefit from another person in exchange for the removal of such content. Furthermore, it is prohibited to include or promote commercial activities or sales conducted by third parties—such as contests, sweepstakes, sales promotions, product placements, advertising, or job offers—without prior express written consent from Fans1. contains copyrighted and possibly royalty-bearing music Contains: Unsolicited sexual content or language that objectifies another person non-consensually. Fake, altered, or AI-manipulated sexual content (e.g. "deepfakes") involving another user or person. Hate speech directed at individuals or groups based on race, ethnicity, nationality, immigration status, caste, religion, gender, gender identity, sexual orientation, age, disability, health status, veteran status, or other protected characteristics. Personal or confidential data (e.g., phone numbers, addresses, GPS coordinates, names, ID documents, emails, login data, bank or credit card details, biometric or medical data) without explicit consent. Public nudity in locations where it is illegal or sexual acts performed in public areas where the general public could reasonably view the content (e.g., not on private property or isolated outdoor locations). Content falsely implying endorsement, affiliation, or licensing by Fans1 or another brand or individual. Content that causes serious offense, embarrassment, distress, or harm to others. Content uploaded for the purpose of blackmail or financial gain in exchange for removal. Commercial promotions such as contests, sweepstakes, job postings, product placements, or ads without prior written approval from Fans1. Copyrighted music that is subject to licensing fees and not properly cleared. f) Protection from Exploitation To protect against exploitation and human trafficking, all users on Fans1 agree not to create, upload, or distribute any content that is in any way associated with human trafficking, exploitation, or any form of violence. Users must ensure that their activities and content fully comply with international human rights standards at all times. Furthermore, users are strictly prohibited from engaging in any activity or uploading any content that violates the rules, standards, or policies of major credit card companies or other payment service providers. Fans1 reserves the right to remove any content and suspend or terminate accounts that jeopardize payment processing compliance. 7. Right of Withdrawal The right of withdrawal for distance contracts concerning the provision of digital services, pursuant to Section 356 (4) No. 2 of the German Civil Code (BGB), expires when the performance of the contract has begun and the consumer has expressly agreed that the execution of the contract will commence before the end of the withdrawal period and acknowledged that their right of withdrawal will lapse once the contract has been fully performed by the provider. By unlocking digital content such as image files or any other paid media on Fans1, you expressly agree that the provision of the service begins before the expiration of the withdrawal period, and you acknowledge that your right of withdrawal is forfeited upon the commencement of the content delivery. Please note: Once your right of withdrawal has lapsed, you are no longer eligible for PayPal buyer protection. Accessing the paid content constitutes full performance of the contract under Section 362 BGB, which excludes any subsequent claim for a refund via PayPal buyer protection. 8. SANCTIONS FOR VIOLATIONS Compliance with these Terms of Service is essential for the proper functioning of Fans1. Fans1 reserves the right to impose sanctions against any member if there are concrete indications that the member has violated applicable laws, third-party rights, accepted standards of conduct, and/or these Terms. When determining the appropriate sanction, Fans1 will take into account the interests of the affected member and consider whether the violation was unintentional or committed with intent. The following sanctions may be applied progressively depending on the severity of the violation: Warning issued to the member (as the mildest measure), Partial or complete removal of the member’s content, Limitations or restrictions in the use of Fans1, Temporary suspension of the member’s account, Permanent suspension of the member’s account and issuance of a platform ban (virtual house ban). Fans1 reserves the right to take further legal action in severe cases or where repeated violations occur. 9. Warranty Disclaimer The technical infrastructure and databases provided by Flarex Media International LTD are maintained in accordance with current industry standards. Flarex Media International LTD strives to ensure the highest possible availability of its platform. However, temporary access restrictions may occur due to factors beyond the providers control such as force majeure, disruptions caused by third parties, or necessary maintenance work. The provider does not guarantee uninterrupted access to or the continuous availability of the platform and shall not be held liable for downtime resulting from maintenance or unforeseeable technical issues that could not have been avoided by a reasonably diligent developer. Additionally, Flarex Media International LTD does not guarantee the authenticity, integrity, or long-term storage of content uploaded by users. If an account is removed, restricted, or modified due to a violation of the Terms of Use, the user has no claim to the recovery or release of any stored content or communication data associated with that account. 10. Limitation of Liability Claims for damages against Flarex Media International LTD, the provider of Fans1, are excluded unless the provider, its legal representatives, or agents can be proven to have acted with intent or gross negligence. This exclusion does not apply to damages resulting from injury to life, body, or health, or to cases where liability is mandatory under applicable product liability laws. In the event of a breach of essential contractual obligations, the provider shall be liable for any negligence, but only up to the amount of damage that was foreseeable and typical at the time the contract was concluded. The above limitations of liability also apply to companies affiliated with the provider as well as to the personal liability of the employees, representatives, shareholders, and agents of the provider and/or its affiliated companies. 11. Intellectual Property and Database Rights All rights, including copyrights, trademarks, database rights, and other proprietary rights in and to the Fans1 platform including its database, structure, content, design, code, and all integrated elements – are the exclusive property of Flarex Media Holding Group, located at 64 ‘EXCALIBUR’, TRIQ B. BONTADINI, Birkirkara, BKR 1737, Malta. While users retain full ownership of the content they upload to their profiles, by using Fans1 they grant the platform a non-exclusive, worldwide, royalty-free license to store, display, process, and distribute such content, as outlined in the Terms of Use. Any commercial use of platform data, including scraping, resale, or use for third-party services, is strictly prohibited without prior written consent from Flarex Media International LTD. Copyright notices, watermarks, and other proprietary identifiers on the Fans1 website or within the platform may not be removed, altered, or obscured under any circumstances. Furthermore, the contents of Fans1 may not be used to create a competing platform, service, or database. It is strictly forbidden to integrate or link the Fans1 database or any of its components with other platforms, databases, or meta-databases. Any form of publication, reproduction, distribution, public display, or transmission of film recordings, screen captures, or screenshots of the Fans1 platform, whether in whole or in part, is not permitted without the explicit prior written permission of the provider. This restriction applies to all types of media, including but not limited to social media platforms, websites, third-party applications, and physical or digital publications. In the event of any infringement, Flarex Media International LTD reserves the right to take appropriate legal action, including but not limited to issuing cease-and-desist orders, pursuing claims for damages, and reporting the incident to the relevant authorities for further civil or criminal proceedings. 12. Final Provisions These Terms are governed by Maltese law. Consumer protection rights of the user’s country of residence remain unaffected.
